Senior Manager Contract Management

Position Title: Sr. Manager, Contract Management

Location: Libertyville Hybrid

Job Summary: As the Senior Manager, Contract Management at Pharma Logistics, you will serve as an active and commercially minded partner to the business, using your proven track record of success in managing complex legal matters to protect our company and delight our customers. This position reports to the Head of Legal.

Job Duties and Responsibilities:

Contract Lifecycle Management:

  • Draft, negotiate, and review commercial service-related agreements with hospitals, health systems, and the Federal Government.
  • Draft, negotiate, and review a broad range of legal documents, including, vendor agreements, confidentiality agreements, and consulting agreements.
  • Develop and implement standardized contract templates specific to Pharma Logistics’ services, ensuring alignment with industry standards and mitigating risk.
  • Maintain a library of legal agreements and templates for vendors, customers, and other business-related matters.
  • Work cross-functionally to ensure executed agreements are communicated to stakeholders and are operationalized timely and accurately.
  • Responsible for overall contract lifecycle management.

M&A and Integration:

  • Oversee legal aspects of mergers and acquisitions, including due diligence, deal structuring, and post-merger integration, with a focus on legal and regulatory considerations for healthcare technology and service acquisitions.

Risk Management:

  • Effectively manage risk to the organization, handle disputes and litigation, across the organization.
  • Manage and mitigate legal risks associated with commercial activities, ensuring alignment with company policies, applicable laws, and industry standards.
  • Conduct legal research and stay updated on relevant laws, regulations, and industry trends particularly those associated with environmental regulations, pharmaceutical services delivery, and data privacy/security.

Cross-Functional Collaboration:

  • Collaborate with cross-functional teams and executive team members to provide legal insights and support for various business initiatives.
  • Manage outside counsel as specialized advice is required for projects or activities.
  • Act as the primary point of contact for stakeholders, including clients, senior management, and team members and provide regular updates on legal project status, risks, and issues, ensuring transparency and accountability.
  • Manage external legal counsel, ensuring efficient and cost-effective services.

Required Education, Skills, and Experience:

  • Bachelor's Degree is required. Paralegal or Juris Doctor degree preferred.
  • Minimum of 4 years of legal experience is required.
  • Experience as in-house counsel (or similar) within the pharmaceutical or healthcare industry preferred.
  • Exceptional oral and written communication skills, including advanced contracting and negotiation skills.
  • Ability to make and communicate thoughtful, integrated and timely decisions and take corresponding actions.
  • Ability to manage multiple tasks simultaneously, to work independently and manage discrete areas of responsibility, and to flourish in a fast-paced and high-energy environment.
  • Strong organizational skills to maintain a high level of productivity, innovation and priority-setting in order to meet commitments on-time and handle a high volume of work.
  • Proven ability to work with a high level of integrity, transparency, accuracy and attention to detail.
